講師	:	Mr. Antony Sin Mr Sin, practising barrister-at-law, has worked as tax consultant in one of the Big 4 international accounting firm. He was awarded the Master of Laws (Business and Corporate Law) from the University of London and the Postgraduate Certificate in Laws from the University of Hong Kong. He is also a member of the Taxation Institute of Hong Kong and a Certified Tax Advisor (Hong Kong). He has been serving as member and adjudicator of various appeal boards of the HKSAR.

詳情	:	In this talk, the speaker will cover the following topics:- Introduction to the new Companies Ordinance (Cap.622) and the new Companies (Winding Up and Miscellaneous Provisions) Ordinance (Cap.32) Essential updates in Hong Kong company law as of 3 March 2014 Changes in Function and Format of Articles of Association, the five mandatory articles and model articles New requirements for disclosure of company name New sets of documentation for opening a company bank account for HK-incorporated and non-Hong Kong companies Additional essential elements for company meeting such as directors, sole director, shareholders & sole shareholder, IT technology, and written resolution in lieu of meetings Operation of "Turquand's Rules" under common law and the new statutory indoor management rule and its significance in banking industry New requirements for registration of charge and charge instrument

1.	The registration fee is non-refundable and non-transferrable.
2.	A registration number will be generated for each application. The registration number is unique and non-transferrable. Members cannot proceed to payment if they do not apply the CPD event and obtain the registration number through the HKIS website.
3.	Payment can be made by cheque or by Credit Card (Shanghai Commercial Bank Ltd. / American Express). Cheques should be made payable to “SURVEYORS SERVICES LTD.”. A separate cheque or Credit Card payment instruction form is required for each event/ application. You should write down the registration number and HKIS membership number at the back of your cheque. The HKIS Secretariat will update the payment status and your application will be confirm when HKIS Secretariat receive your payment.
4.	Payment by PayPal is also acceptable. Please register in our web site before the closing date for each event. Please be reminded that if you cannot settle the payment within 7 days from the date the HKIS Secretariat accepted your registration, your registration number will be invalid and your application will be rejected. Your name will not be included in the registration list and you cannot attend the concerned CPD event. (Not applicable for site visit / social event / joint event with other organisation)
5.	An official receipt which must be presented at the event, will be available for downloading from the "CPD Profile" under Members Corners when payment is received.
6.	Incomplete or wrongly completed registration will not be processed.
7.	In the event a Typhoon Signal No. 8 or above or Black Rainstorm Warning is hoisted, the event will be postponed and a new arrangement will be announced. Should the aforesaid warnings be lowered 4 hours before the event, the event will proceed as normal.
8.	If you have not received any reply from HKIS Secretariat within 7 days of the event, you may call the Secretariat at 2526 3679 to check the progress of your registration.
9.	The HKIS reserves the right of final decision and interpretation in the case of any disputes.

3.	While the HKIS has arranged Group Personal Accident insurance for members joining the above visit, members who have been accepted for joining the above visit can consider procuring an appropriate insurance policy to cover their own risks before attending the event.
